Governance Update Process

Thank you for taking the time to understand more about the governance of your association. URMIA is managed by an elected Board of Directors. One of their charges is to maintain our bylaws and articles of incorporation. The board edits both documents from time to time to reflect current practices and ensure alignment of duties and clarity.

Each year with the membership renewal process, the previous year’s updates will be posted here with an explanation. We encourage all members to review them at this time.

Most changes do not require a membership vote, but when they do we will use the renewal process to establish a quorum.

Renewal Signifies Acceptance

For the convenience of Voting Members, renewal of an organization's membership for 2018 casts a vote to accept the "Amended and Restated" version of URMIA's articles of incorporation.

Articles of Incorporation

Page 2, Article IV

Added this language "or alternatively, to such business league or leagues as shall at the time qualify as an exempt organization or organizations under Section 501(c)(6) of the Internal Revenue Code of 1986, as amended, or corresponding provisions of any subsequent Federal tax laws, as" so that any assets upon dissolution to go to a (c)(3) or (c)(6) entity, this gives us more flexibility.

Page 3, Omission

Article VI, formerly entitled "Registered Office and Registered Agent", listed our previous address. This specification is no longer required and was removed.

Page 3, Article VII

Removed listing of initial board of directors names and addresses.

Page 3, Article VIII

Added sections e) employees and f) agents and “or otherwise” to this sentence:  The Corporation shall indemnify as a matter of right an Indemnitee who is wholly successful, on the merits or otherwise, in the defense of any such proceeding against reasonable expenses incurred by the person in connection with the proceeding without the requirement of a determination as set forth in the first sentence of this paragraph.
